German contract law\n            (Vertragsrecht) is primarily governed by the BGB &mdash;\n            the Civil Code. The BGB provides the statutory framework\n            and default rules for most contract types. Many provisions\n            can be adapted by agreement, while mandatory rules &mdash;\n            particularly in consumer, standard-terms and protective\n            legislation &mdash; continue to apply. The BGB provides\n            the general contract-law framework; the HGB adds\n            merchant-specific rules for commercial transactions.\n            Whether HGB provisions apply depends on the parties&rsquo;\n            merchant status and the type of transaction.<\/p>\n            <p>Contract law questions arise at three stages: at\n            drafting, when a contract needs to be structured to reflect\n            the actual transaction and allocate risk; at review, when\n            an incoming contract needs to be assessed before signature;\n            and in disputes or performance problems, when the contract\n            determines the available rights, remedies and procedural\n            options. We advise at all three stages.<\/p>\n\n            <h2 id=\"cl-drafting\">Contract Drafting<\/h2>\n            <p>A well-drafted contract describes obligations precisely,\n            sets payment terms clearly, addresses what happens if\n            performance is delayed or defective, limits liability where\n            appropriate, and provides a workable mechanism for\n            termination and dispute resolution. Statutory rules provide\n            a general framework, but they do not necessarily reflect the\n            commercial or practical requirements of the individual\n            transaction.<\/p>\n            <p>Common drafting assignments include supply agreements,\n            service contracts (Dienstvertrag and Werkvertrag &mdash; the\n            distinction matters for acceptance, warranty, and\n            termination), cooperation agreements, licensing agreements,\n            NDA and confidentiality agreements, and shareholder-related\n            contractual arrangements where they overlap with\n            corporate-law questions (see our\n            <a href=\"\/en\/corporate-law-germany\/\">corporate law page<\/a>\n            and\n            <a href=\"\/en\/managing-directors-shareholders\/\">managing\n            directors and shareholders page<\/a>). For B2B commercial\n            contracts with a specific commercial focus &mdash;\n            distribution, agency, framework agreements, AGB &mdash;\n            further detail is on our\n            <a href=\"\/en\/commercial-contract-law\/\">commercial contract\n            law page<\/a>.<\/p>\n\n            <h2 id=\"cl-distinction\">Dienstvertrag and Werkvertrag\n              &mdash; A Key Distinction<\/h2>\n            <p>Under a Dienstvertrag, the service provider owes the\n            agreed activity or services, but generally not a defined\n            result. Under a Werkvertrag, the contractor owes a\n            specified result or work product. The legal classification\n            depends on the substance of the obligations, not only on\n            the title of the contract.<\/p>\n            <p>The classification determines: whether formal acceptance\n            (Abnahme) under &sect;&nbsp;640 BGB is required &mdash;\n            which affects payment, transfer of risk and the\n            commencement of limitation periods for statutory defect\n            rights &mdash; how remedies for defective performance\n            apply, and which termination rules govern. Some agreements\n            contain both service and work-contract elements; in those\n            cases, classification may depend on the contractual focus\n            or require separate treatment of individual obligations.\n            German terms such as Abnahme and Gew&auml;hrleistung \/\n            M&auml;ngelrechte do not always have direct common-law\n            equivalents and should be reflected accurately in\n            multilingual contracts.<\/p>\n\n            <h2 id=\"cl-review\">Contract Review<\/h2>\n            <p>Contract review before signature identifies risk\n            allocation issues that are not visible without legal\n            analysis: unfavourable liability caps, warranty exclusions,\n            termination traps, standard terms that may not have been\n            effectively incorporated or may be invalid under\n            &sect;&sect;&nbsp;305&nbsp;ff. BGB, and jurisdiction\n            clauses that could create unexpected forum risks. A\n            contract in a foreign language requires review against both\n            the language version and the applicable law &mdash; a\n            contract drafted in English but governed by German law has\n            different consequences than its language alone suggests.<\/p>\n            <p>We review contracts before signature &mdash; in German\n            and English; by prior arrangement, also in Russian &mdash;\n            and advise on the specific provisions that require\n            renegotiation or clarification.<\/p>\n\n            <h2 id=\"cl-negotiation\">Negotiation Support<\/h2>\n            <p>We provide input during commercial negotiations:\n            reviewing counterparty proposals, formulating positions on\n            specific clauses, and providing input on which positions are\n            common in comparable contracts and which clauses create\n            material legal risk. Early legal input can help identify\n            negotiable risks before the parties have committed to a\n            final structure.<\/p>\n\n            <h2 id=\"cl-multilingual\">Multilingual Contracts<\/h2>\n            <p>Contracts drafted in two languages require careful\n            handling of the governing language clause. A\n            governing-language clause identifies which version should\n            prevail contractually in case of inconsistency. The\n            interpretation of the agreement nevertheless remains\n            subject to the applicable law and the circumstances of the\n            contract. A governing-language clause does not replace a\n            clear choice-of-law and jurisdiction clause.<\/p>\n            <p>A contract drafted in English but governed by German law\n            requires careful alignment of English-language terms with\n            their German legal equivalents. German legal concepts &mdash;\n            Werkvertrag, Eigentumsvorbehalt, Anfechtung, AGB, Abnahme,\n            Gew&auml;hrleistung \/ M&auml;ngelrechte &mdash; do not\n            always map directly onto common law concepts and should be\n            reflected accurately, not just translated.<\/p>\n            <p>We draft and review contracts in German and English and\n            advise on governing language, applicable law, and\n            interpretation risk.<\/p>\n\n            <h2 id=\"cl-private\">Selected Civil-Law Contracts for\n              Private Clients<\/h2>\n            <p>We advise private clients on selected civil-law contracts\n            where there is a significant international, multilingual,\n            business-related or economically substantial element. This\n            may include cross-border service agreements, purchase\n            agreements or privately negotiated contracts with German-law\n            implications. Consumer contracts may be subject to mandatory\n            information duties, withdrawal rights and restrictions on\n            standard terms that cannot simply be excluded by agreement.\n            General consumer complaints and routine small-value\n            contractual matters are not the focus of this page.<\/p>\n\n            <h2 id=\"cl-disputes\">Dispute Prevention<\/h2>\n            <p>Unclear drafting is a frequent source of contract\n            disputes, alongside performance failures, payment issues\n            and differing expectations. The regular limitation period\n            under &sect;&nbsp;195 BGB is three years. Under\n            &sect;&nbsp;199 BGB, it generally begins at the end of the\n            year in which the claim arose and the creditor obtained\n            knowledge &mdash; or would have obtained knowledge without\n            gross negligence &mdash; of the relevant circumstances and\n            the debtor. For sales, works, construction, defect claims\n            and other specific contract types, different limitation\n            periods and commencement rules may apply. A contract and\n            claims review can clarify which rights exist, which notices\n            or deadlines are required, and whether steps must be taken\n            to suspend limitation before limitation becomes a\n            procedural risk.<\/p>\n            <p>We assess, draft and review German-law contracts with a\n            commercial, international or multilingual dimension and\n            advise on the provisions that materially affect the\n            client&rsquo;s legal position.
