Where the contract is silent, the\n            BGB default rules apply &mdash; and the outcome is often\n            different from what the parties assumed.<\/p>\n\n            <h2 id=\"cd-breach\">Breach of Contract Claims &mdash;\n              &sect;&sect;&nbsp;280 ff.&nbsp;BGB<\/h2>\n            <p>Under &sect;&nbsp;280(1) BGB, damages may be claimed where\n            a contractual duty has been breached and the breach caused\n            loss. Responsibility is generally presumed unless the debtor\n            can show that the breach was not attributable to it.<\/p>\n            <p>&sect;&nbsp;281 BGB governs damages in lieu of performance\n            after an unsuccessful deadline has been set. The creditor\n            must generally set a reasonable deadline for performance\n            before claiming damages in lieu &mdash; unless a deadline is\n            dispensable under the statutory exceptions.<\/p>\n            <p>&sect;&nbsp;280(2) in conjunction with\n            &sect;&nbsp;286 BGB governs delay damages. Default (Verzug)\n            may be triggered by a reminder, but can also arise without a\n            reminder in certain cases &mdash; for example where a payment\n            date is fixed by calendar, or where a monetary claim remains\n            unpaid 30&nbsp;days after due date and receipt of an invoice.\n            In B2B payment claims, default interest under\n            &sect;&nbsp;288(2) BGB is nine percentage points above the\n            base rate.<\/p>\n            <p>The regular limitation period is three years\n            (&sect;&nbsp;195 BGB). It generally begins at the end of the\n            year in which the claim arose and the creditor obtained\n            knowledge &mdash; or would have obtained knowledge without\n            gross negligence &mdash; of the relevant circumstances and\n            the debtor (&sect;&nbsp;199 BGB). For specific contract types\n            &mdash; sales, construction, warranty claims &mdash; different\n            periods apply and must be checked before a dispute strategy\n            is fixed.<\/p>\n\n            <h2 id=\"cd-withdrawal\">Withdrawal and Termination<\/h2>\n            <p>&sect;&nbsp;323 BGB governs withdrawal from a reciprocal\n            contract where a due performance has not been rendered or has\n            not been rendered as agreed. A reasonable deadline for\n            performance or cure is generally required unless a statutory\n            exception applies. Unlike damages, withdrawal does not\n            require fault.<\/p>\n            <p>&sect;&nbsp;314 BGB governs extraordinary termination of\n            ongoing contractual relationships\n            (Dauerschuldverh&auml;ltnisse) for good cause (wichtiger\n            Grund). Whether good cause exists is frequently the\n            substantive dispute. Where the important reason consists of a\n            remediable contractual breach, a prior warning or opportunity\n            to remedy is generally required unless an exception applies.\n            Extraordinary termination must also be declared within a\n            reasonable period after the terminating party becomes aware\n            of the relevant facts.<\/p>\n\n            <h2 id=\"cd-damages\">Damages Calculation<\/h2>\n            <p>German damages law aims at full compensation\n            (Naturalrestitution under &sect;&nbsp;249 BGB, or monetary\n            compensation where restitution is impossible or\n            insufficient). Contributory negligence under\n            &sect;&nbsp;254 BGB can reduce the recoverable amount. The\n            injured party must take reasonable steps to avoid or reduce\n            further loss.<\/p>\n            <p>In practice, disputes often concern causation, the\n            recoverability of lost profits, the scope of the protected\n            contractual interest and the documentation of mitigation\n            measures.<\/p>\n\n            <h2 id=\"cd-prelitigation\">Pre-Litigation Strategy<\/h2>\n            <p>A contract dispute does not begin at the court filing\n            stage. The first written response to an alleged breach, the\n            decision whether to set a deadline or declare a termination,\n            and the handling of limitation periods all have legal\n            consequences. Early legal input allows those choices to be\n            made deliberately.<\/p>\n            <p>We advise at the pre-litigation stage: assessing the legal\n            position, structuring the demand or response, advising on\n            whether to set a deadline or terminate, and evaluating\n            settlement prospects before proceedings are initiated. Where\n            appropriate, a structured pre-litigation demand or response\n            should precede court proceedings. Immediate filing may be\n            necessary where limitation, interim relief or other urgent\n            circumstances are involved.<\/p>\n\n            <h2 id=\"cd-courts\">Court Proceedings in Germany<\/h2>\n            <p>As a rule, the Amtsgericht handles civil disputes with a\n            value of up to &euro;10,000, while the Landgericht has\n            jurisdiction above that threshold, subject to statutory\n            subject-matter exceptions. Representation by a lawyer is\n            generally mandatory before the Landgericht, while there is\n            generally no statutory requirement of legal representation\n            before the Amtsgericht. At the Landgericht, a Kammer f&uuml;r\n            Handelssachen may hear certain commercial disputes where the\n            statutory and procedural requirements are met.<\/p>\n            <p>Hamburg has established a Commercial Court at the\n            Hanseatic Higher Regional Court for qualifying high-value\n            commercial disputes from &euro;500,000, as well as\n            specialised Commercial Chambers at the Hamburg Regional\n            Court. English-language proceedings are available in\n            qualifying cases, subject to the applicable procedural\n            requirements. Their jurisdiction generally requires that the\n            dispute falls within the designated subject areas and that\n            the relevant procedural and party-agreement requirements are\n            met.<\/p>\n            <p>German civil proceedings are party-driven but actively\n            managed by the court. The parties present the facts and\n            evidence, while the court structures the procedure,\n            identifies relevant issues and schedules written submissions\n            and oral hearings. As a general rule, the unsuccessful party\n            bears the court costs and the opponent&rsquo;s recoverable\n            statutory legal costs. In the event of partial success, costs\n            are allocated proportionately. A party&rsquo;s actual legal\n            fees may exceed the recoverable amount where an individual\n            fee agreement applies.<\/p>\n\n            <h2 id=\"cd-settlement\">Settlement<\/h2>\n            <p>Settlement (Vergleich) is available at any stage &mdash;\n            before proceedings, during proceedings, or at the appellate\n            level. German courts are required to consider an amicable\n            resolution during the proceedings and may propose a judicial\n            settlement (gerichtlicher Vergleich). A negotiated settlement\n            gives both parties certainty and control over the outcome\n            that a judgment does not.<\/p>\n            <p>We advise on settlement strategy, draft settlement\n            agreements, and represent in settlement negotiations\n            alongside or instead of court proceedings.<\/p>\n\n            <h2 id=\"cd-international\">For International\n              Counterparties<\/h2>\n            <p>We advise and represent in German-law contract disputes\n            that involve foreign counterparties or international\n            contractual elements. International elements arise around:\n            which court has jurisdiction, whether a German judgment can\n            be enforced abroad, whether the CISG applies, and whether\n            proceedings in German or English are appropriate.
