In practice,\n            commercial law combines contract law, merchant-specific HGB\n            rules, distribution and agency law, payment obligations and\n            commercial dispute resolution.<\/p>\n            <p>The legal framework rests primarily on the German Civil\n            Code (BGB) for contract law and the German Commercial Code\n            (HGB) for merchants and commercial transactions. For\n            international sales contracts, the UN Convention on Contracts\n            for the International Sale of Goods (CISG) may apply\n            depending on the parties&rsquo; locations and any\n            choice-of-law clause.<\/p>\n\n            <h2 id=\"cl-contracts\">Commercial Contracts &mdash; B2B\n              Agreements<\/h2>\n            <p>Well-drafted commercial contracts are the most efficient\n            form of legal protection in business relations. A contract\n            that clearly defines obligations, payment terms, delivery\n            conditions, liability limitations, and dispute resolution\n            reduces the risk of disputes and provides a solid basis if\n            they arise.<\/p>\n            <p>We advise on the drafting, review, and negotiation of\n            commercial contracts: supply agreements, distribution\n            contracts, agency agreements (&sect;&nbsp;84 HGB), framework\n            agreements, service contracts, NDA and confidentiality\n            agreements, and standard terms and conditions (AGB). The AGB\n            rules under &sect;&sect;&nbsp;305&nbsp;ff. BGB also apply in\n            B2B contexts, though the standard and intensity of review\n            differ from consumer cases. The general\n            framework covers offer and acceptance, contract formation,\n            performance obligations, breach of contract, and remedies\n            (&sect;&sect;&nbsp;280&nbsp;ff. BGB). For businesses, the\n            AGB rules under &sect;&sect;&nbsp;305&nbsp;ff. BGB impose\n            specific requirements on the content and transparency of\n            standard terms.<\/p>\n            <p>We advise on contract drafting and review for domestic and\n            cross-border commercial relationships, in German and English.\n            Further detail is on our\n            <a href=\"\/en\/contract-law-germany\/\">contract law page<\/a>.\n            <\/p>\n\n            <h2 id=\"cl-international\">International Contracts &mdash;\n              CISG and Governing Law<\/h2>\n            <p>For international sales of goods, the CISG may apply where\n            the parties have their places of business in different\n            Contracting States, or where conflict-of-law rules lead to\n            the law of a Contracting State, unless the parties exclude or\n            modify it. If the parties want German domestic sales law\n            rather than the CISG, the exclusion should be express and\n            carefully drafted.<\/p>\n            <p>Choice of law and jurisdiction are separate questions.\n            Rome I governs the applicable law in contractual obligations\n            where no effective choice of law has been made or where\n            mandatory rules intervene. Jurisdiction must be assessed\n            separately, in particular under Brussels Ia within the EU,\n            arbitration clauses, and other applicable rules for non-EU\n            cases. A governing-law clause does not automatically create\n            jurisdiction.<\/p>\n            <p>An effective international contract requires consistent\n            alignment of governing law and dispute resolution. Further\n            detail is on our\n            <a href=\"\/en\/international-contracts\/\">international\n            contracts page<\/a>.<\/p>\n\n            <h2 id=\"cl-disputes\">Contract Disputes<\/h2>\n            <p>Contract disputes in Germany are resolved through\n            negotiation, pre-litigation correspondence, court\n            proceedings, or arbitration. The choice of strategy depends\n            on the relationship between the parties, the amount in\n            dispute, the strength of the legal position, the applicable\n            limitation period, and the practical enforceability of any\n            judgment or award.<\/p>\n            <p>As a rule, the Amtsgericht handles civil claims up to\n            &euro;5,000 and the Landgericht claims above that threshold,\n            subject to statutory exceptions. The Kammer f&uuml;r\n            Handelssachen at the Landgericht may hear certain commercial\n            matters where the statutory requirements are met and the\n            procedural route is properly chosen. Commercial Courts are established at\n            selected Higher Regional Courts for high-value commercial\n            disputes. Commercial Chambers at selected Regional Courts\n            cover certain commercial disputes below that threshold or\n            within their assigned jurisdiction. Availability depends on\n            the respective federal state and court.<\/p>\n            <p>In qualifying proceedings before courts and chambers that\n            have adopted the English-language option, substantial parts\n            of the proceedings may be conducted in English; the precise\n            scope depends on the court, the statutory framework and the\n            parties&rsquo; procedural choices. This is an important\n            development for international parties, but it does not make\n            English the default language of German commercial\n            litigation.<\/p>\n            <p>In Hamburg, the Commercial Court at the Hanseatic Higher\n            Regional Court handles suitable high-value commercial\n            disputes from &euro;500,000; Commercial Chambers at the\n            Hamburg Regional Court cover certain lower-value commercial\n            disputes. The specific jurisdiction and language option\n            should be checked before drafting a forum clause or filing a\n            claim. Further detail is on our\n            <a href=\"\/en\/commercial-civil-disputes\/\">commercial and civil\n            disputes page<\/a>.<\/p>\n\n            <h2 id=\"cl-debt\">Debt Collection<\/h2>\n            <p>Default under &sect;&nbsp;286 BGB may be triggered by a\n            reminder, but can also arise without a reminder in certain\n            cases, for example where a payment date is fixed or where a\n            monetary claim remains unpaid 30&nbsp;days after due date and\n            receipt of an invoice. In B2B payment claims, default\n            interest under &sect;&nbsp;288(2) BGB is generally nine\n            percentage points above the base rate.<\/p>\n            <p>The German judicial dunning procedure (Mahnverfahren) can\n            be efficient for due, quantified monetary claims, especially\n            where no serious objection is expected. If the debtor\n            objects, the matter can proceed to ordinary litigation. If no\n            objection is filed, a Vollstreckungsbescheid can be obtained\n            and used for enforcement (Zwangsvollstreckung). For\n            uncontested cross-border civil and commercial monetary claims\n            within the EU, except Denmark, the European Order for Payment\n            Procedure may offer an alternative.
