Separate immigration authorisation may be required where a third-country national intends to enter, reside or carry out operational activities in Germany &mdash; whether as a shareholder-director, employee or in another active role. Depending on the structure, &sect;&nbsp;21 AufenthG (self-employment) or &sect;&nbsp;19c AufenthG may be relevant. EU, EEA and Swiss nationals are generally not subject to these residence-permit routes. We advise on corporate law and immigration law in a coordinated manner.<\/p>\n        <\/div>\n\n        <h2 id=\"fs-roles\">Shareholder and managing director &mdash; the central legal distinction<\/h2>\n        <p>For foreign founders, the central legal distinction is between the shareholder role and the managing-director role, because each is subject to different corporate and immigration requirements.<\/p>\n        <p><strong>Shareholders<\/strong> hold interests in the GmbH and decide in the shareholders&rsquo; meeting on profit distribution, amendments to the articles, capital measures and the appointment of the managing director. The GmbHG itself does not generally restrict shareholders by nationality or place of residence. Separate sanctions, foreign-investment-control or sector-specific requirements may nevertheless need to be reviewed in particular cases. A foreign investor can hold all interests in a German GmbH &mdash; without a residence permit, without a German address, without a German co-founder &mdash; subject to any such review.<\/p>\n        <p><strong>Managing directors<\/strong> represent the GmbH externally under &sect;&nbsp;35 GmbHG and manage its day-to-day operations. They do not need a German passport. German corporate law does not generally require a GmbH managing director to reside in Germany. Immigration requirements depend on the activities actually performed in Germany, their duration and the individual&rsquo;s nationality and residence status. A Schengen visa or visa-free short stay does not automatically authorise ongoing operational management in Germany.<\/p>\n        <p>A GmbH may be managed by a director who resides abroad. Occasional travel to Germany for shareholder or corporate meetings must nevertheless be assessed separately from ongoing operational management carried out in Germany.<\/p>\n        <p>A common question: do foreign founders need a German managing director? The answer depends on how the GmbH is to be run and on the nationality and circumstances of the intended director. The corporate and immigration dimensions must be assessed together.<\/p>\n\n        <h2 id=\"fs-requirements\">What foreign shareholders need for formation<\/h2>\n        <p>The GmbHG itself does not generally restrict shareholders by nationality or place of residence. The additional requirements for foreign participants arise from the formalities of notarial execution, the commercial register application and the bank account opening. UBO threshold: more than 25% of capital interests or voting rights, or comparable control.<\/td>\n              <\/tr>\n              <tr>\n                <td>Residence permit<\/td>\n                <td>Not required as a pure shareholder (subject to sanctions\/investment-control review); required where the shareholder intends to carry out operational activities in Germany.<\/td>\n              <\/tr>\n            <\/tbody>\n          <\/table>\n        <\/div>\n\n        <h2 id=\"fs-notarisation\">Notarisation from abroad &mdash; power of attorney, video, consulate<\/h2>\n        <p>Since the DiRUG of 1 August 2022, cash formations of a GmbH can be notarised by video, provided the procedure is conducted through the official online system of the Federal Chamber of Notaries and all participants satisfy the statutory identification and technical requirements. For many third-country nationals, the absence of a suitable eID document remains the main practical obstacle. Video notarisation may be the most practical route where all participants have suitable eID documents and the intended transaction is eligible for the online procedure.<\/p>\n        <p>From Hamburg notarisation practice: the power-of-attorney route involves less travel but creates its own administrative burden. The power of attorney must satisfy the form requirements of &sect;&nbsp;2(2) GmbHG &mdash; it must be notarised or notarially certified. Where executed abroad, the formal equivalence, authenticity and usability of the document in Germany must also be verified. Depending on the country of issue, the document and the requirements of the notary or registration court, an apostille, legalisation or other proof of authenticity and a certified German translation may be required. An apostille confirms the authenticity of a foreign public document; it does not automatically resolve the separate question of whether the foreign notarial form is equivalent to the German requirement.<\/p>\n        <p>In states participating in the Hague Apostille Convention, an apostille can replace the ordinary legalisation procedure for qualifying public documents. Processing times and any additional requirements vary by country and document. For countries without a Hague agreement, a multi-stage legalisation chain running through the authorities of the home country and the German diplomatic mission is required.<\/p>\n        <p>German diplomatic missions may in individual cases certify signatures or perform limited notarial acts. These services are discretionary, are not offered by every mission and should be confirmed with the competent mission in advance. For company-law matters, the official online procedure with a German notary is often the more predictable route.<\/p>\n\n        <h2 id=\"fs-bank\">Bank account, share capital and the transparency register<\/h2>\n        <p>In practice, cash contributions are normally paid into a business account opened in the name of the Vor-GmbH. German law does not generally require the account to be held with a German bank. In practice, however, international KYC and source-of-funds reviews may affect the timeline, and the bank, notary and registration process must accept the account and payment evidence. For foreign shareholders, account opening is often more involved: some banks require the personal presence of at least one shareholder; others examine the country of origin and business model in particular detail. We recommend addressing the banking question early, in parallel with the preparation of the articles of association.<\/p>\n        <p>The managing directors must confirm in the commercial register application that the required contributions have been made and are at their free disposal. Suitable evidence of payment should be retained, and the notary or registration court may request supporting documents.<\/p>\n        <p>Under &sect;&nbsp;20 GwG, the GmbH must obtain, maintain and notify accurate and current information on its beneficial owners. Under &sect;&nbsp;3 GwG, a beneficial owner is generally a natural person who directly or indirectly holds more than 25% of the capital interests, controls more than 25% of the voting rights or exercises comparable control. Where a foreign company is the direct shareholder, the ownership and control chain must be traced to the relevant natural persons. If no natural person can be identified after appropriate review, the statutory representative may have to be reported as the deemed beneficial owner. The registration obligation applies regardless of the UBO&rsquo;s country of residence. Non-compliance is subject to administrative fines.<\/p>\n\n        <h2 id=\"fs-director\">When the shareholder also wishes to act as managing director<\/h2>\n        <p>If a third-country shareholder also wishes to carry out operational managing director activities in Germany, the relevant immigration authorisation must be assessed separately &mdash; at this point the scope of corporate law ends and immigration law begins. The corporate appointment alone does not confer any right of residence or authorisation to carry out the relevant operational activity.<\/p>\n        <p>For shareholder-directors with genuine entrepreneurial control, &sect;&nbsp;21(1) AufenthG (residence permit for self-employment) is typically the applicable route. The authority examines whether there is an economic interest or regional need, whether the activity is expected to have positive economic effects and whether the business financing is secured. Secure subsistence is assessed separately as part of the general residence requirements. For an employed managing director without genuine entrepreneurial control, &sect;&nbsp;19c(1) AufenthG in conjunction with &sect;&nbsp;3 no.&nbsp;2 BeschV may be the appropriate route. The distinction depends on the shareholder-director&rsquo;s voting rights, legally secured control, contractual position and actual decision-making powers. There is no single shareholding percentage that determines every case.<\/p>\n        <p>We advise on both routes in a coordinated manner. Anyone forming a GmbH while also planning to be active in Germany must consider both sides from the outset: corporate structure, managing director position, share capital and the appropriate immigration authorisation.<\/p>\n        <p>Both areas can be coordinated within one mandate.
